Terms & Conditions
1. Acceptance
These Terms & Conditions ("Terms") are a binding agreement between you and Recast Designs ("Clozio", "we", "us"), Amman, Jordan. By creating an account, checking the acceptance box at signup, installing the widget, or using any part of the service, you accept these Terms in full. If you do not accept them, do not use the service.
2. The service
Clozio provides an AI concierge widget for websites. The service, including its availability, features, models, and behavior, is provided at our sole discretion and may be changed, upgraded, limited, or discontinued in whole or in part at any time.
3. Intellectual property: we own the platform, all of it
- All software, code, the widget, the dashboards, the AI agents and their prompts and configurations, knowledge-compilation formats, designs, interfaces, documentation, branding, trademarks, and any technology or content we create in connection with the service are and remain the exclusive property of Recast Designs.
- You receive only a limited, revocable, non-exclusive, non-transferable license to embed the widget on the website(s) connected to your active, paid account, for the duration of your subscription. No other right or license is granted, by implication or otherwise.
- You may not copy, modify, resell, sublicense, reverse-engineer, scrape, or build competing products from any part of the service, and you may not remove or alter Clozio branding where the plan includes it.
- Any feedback, suggestions, or ideas you send us may be used by us freely, without compensation or attribution, and become our property.
- You keep ownership of your own website content and the customer data (leads, bookings, conversations) collected on your behalf; you grant us a worldwide, royalty-free license to host, process, analyze, and use this content and data as needed to operate, secure, and improve the service.
4. Suspension and termination, without prior notice
We may suspend, restrict, or terminate the service or any account, at any time, with or without cause, and without prior notice, including where we believe, at our sole discretion, that an account involves: a breach of these Terms, unlawful or deceptive activity, abuse of the service or of our provider infrastructure, non-payment, security risk, excessive or anomalous usage, or reputational risk to us. We are not liable for any loss resulting from suspension or termination. You may cancel your subscription at any time; cancellation stops future charges and access ends at the end of the paid period.
5. Billing
- Subscriptions are billed in advance via PayPal at the prices shown at checkout. Voice add-ons are subject to hard usage caps; when minutes are exhausted, voice pauses until the next period or an upgrade.
- All fees are non-refundable to the maximum extent permitted by applicable law, including for partial periods, unused minutes, downtime, or termination under section 4.
- We may change prices, plans, and features at any time; changes apply from your next billing cycle. If a renewal payment fails, we may pause the service after a short grace period.
6. Your responsibilities
- You confirm you own or are authorized to connect the website and content you provide, and that the business facts you confirm (prices, policies, hours) are accurate and lawful.
- You are solely responsible for your use of the outputs, for compliance with laws that apply to your business (including consumer-protection and data-protection laws in your market), and for the conduct of your website's visitors.
- You may not use the service for anything unlawful, deceptive, or harmful, including impersonation, spam, infringement, or collecting data from minors.
7. AI disclaimer
The concierge identifies itself as an AI assistant. AI-generated answers can be wrong, incomplete, or outdated even when grounded in your content. You are responsible for reviewing transcripts and keeping your knowledge accurate. The service is not legal, medical, or professional advice, and we are not responsible for decisions made in reliance on its outputs.
8. No warranties
The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, uptime, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that it will capture any particular number of leads or sales.
9. Limitation of liability
To the maximum extent permitted by law: (a) we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost business, however caused; and (b) our total aggregate liability for all claims arising out of or relating to the service is limited to the fees you actually paid us in the one (1) month preceding the event giving rise to the claim.
10. Indemnification
You will defend, indemnify, and hold harmless Recast Designs and its owners, employees, and contractors from any claim, damage, or expense (including reasonable legal fees) arising from your content, your website, your use of the service, or your breach of these Terms.
11. Changes to these Terms
We may amend these Terms at any time by posting the updated version on this page with a new date. Amendments are effective immediately upon posting. Your continued use of the service after posting constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the Hashemite Kingdom of Jordan. The courts of Amman, Jordan have exclusive jurisdiction over any dispute, and you waive any objection to that venue.
13. General
If any provision of these Terms is held unenforceable, the remainder stays in force. Our failure to enforce a right is not a waiver of it. You may not assign these Terms; we may assign them freely. These Terms, together with the Privacy Policy, are the entire agreement between us regarding the service.
